Terms and conditions

whatROI is a bookkeeping tool for whatnot sellers. You upload the reports whatnot gives you and enter what your stock cost, and it works out profit per sale, per show, per lot and per product, after fees, labels, refunds and giveaways.

It is a calculator over data you supply. It does not connect to your whatnot account, cannot act on your behalf, and has no access to anything you do not upload. It is not affiliated with, endorsed by, or connected to whatnot in any way; “whatnot” is used only to say what the product is for.

whatROI is a sole proprietorship operated from California, in the United States, and is reached at support@whatroi.com.

This is the most important thing here, so it is not buried at the bottom.

• Fees are recomputed from whatnot's published schedule to check what you were charged. whatnot changes rates, runs promotions on particular categories and days, and settles some orders differently. Where the report says one thing and the schedule says another, the report is what actually happened.
• Your whatnot statements, the Ledger and your 1099-K are the source of truth for what you were paid. whatROI's figures are derived from the files you give it and are only as complete as those files.
• The tax pack is a draft to hand to whoever does your taxes. It is not tax advice, and nothing here is legal, financial or accounting advice.
• Anything labelled an estimate — a show still awaiting its weekly report, a projection, a break-even — is an estimate.

Decisions you take on these numbers are yours. Check anything that matters against your statements.

• You need to be 18 or older and running a real selling business.
• Keep your password to yourself; you are responsible for what happens under your account.
• Only upload reports for a whatnot account you sell on. Those files contain other people's usernames, and uploading someone else's report is not yours to do.
• One person or business per account. Sharing a login across separate businesses will make the figures wrong, which defeats the point.

Every account gets 14 days of Pro free, once, starting at its first import; no card is taken for it, and when it ends the account moves to the free plan with nothing charged. The free plan covers 4 shows a month with full detail and 2 lots. Pro is $39 a month or $390 a year and lifts both, and adds the CSV exports, the listing CSV and the tax pack.

• Pro is billed in advance through Stripe, monthly or yearly as you choose, and renews until you cancel. Choosing Pro during the trial does not end the trial early: the first charge is on its last day.
• Promotion codes take off what they say for as long as they say, and are applied by Stripe. A code can be withdrawn for new use at any time; one already on your plan keeps running for the time it promised.
• Cancel any time from Settings. Access continues to the end of the period you have paid for, and nothing is charged after that. A yearly plan runs to the end of its year; the unused part is not refunded.
• Invites: a seller who signs up from your invite link gets 30 days of Pro free instead of 14. When they pay their first invoice, you get a month free: $39 off your next invoice if you pay for Pro, or 30 days of Pro if you do not. At most 12 months in any twelve. Inviting yourself, or accounts made only to earn months, does not count, and months earned that way can be taken back.
• Cancelling does not delete anything. Your data stays and the free plan's limits apply again.
• Prices can change, but not for a period already paid for, and you will be told by email before a change affects you.
• If something goes properly wrong on our side, email and it will be sorted out fairly.

Do not:

• try to reach another seller's data, or probe the service for weaknesses beyond reporting what you find
• scrape it, resell access to it, or run it as a service for other people without agreeing that first
• upload anything unlawful, or data you have no right to hold
• automate it in a way that degrades it for everyone else

Accounts doing any of that can be suspended. Where there is a choice, you will be contacted first.

The service is provided as it is. There is no uptime guarantee, maintenance happens, and upstream providers occasionally fail. Your data is exportable at any time from Settings, which is the real protection against any of that mattering.

To the fullest extent the law allows, whatROI is provided without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy of results. Nothing here excludes liability that cannot lawfully be excluded, such as for death, personal injury or fraud.

To the fullest extent the law allows, total liability for any claim connected with the service is limited to the amount you paid for it in the twelve months before the claim, and there is no liability for lost profits, lost sales, lost data or other indirect losses.

Your data is yours. Uploading it grants only the permission needed to run the service for you: to store it, compute on it and show it back to you. That permission ends when you delete it.

The software, the interface and the wording are ours. Using the service does not transfer any of it.

You can stop at any time: cancel the subscription, or delete the account entirely from Settings, which cancels billing and removes every row. An account can be suspended or closed for a serious or repeated breach of these terms, and where it is not an emergency you will be told why and given a chance to put it right.

These terms change as the product does. The date at the top moves with them, and a material change is emailed to account holders before it takes effect. Continuing to use the service after that means accepting the new version.

These terms are between you and whatROI, a sole proprietorship operated from California in the United States. They are governed by the laws of the State of California, without regard to its conflict of laws rules, and anything that cannot be settled by email belongs to the state or federal courts located in California.

That does not take away the protections of the place you actually live. If the consumer law where you are gives you rights you cannot sign away, you keep them, and you can still bring a claim locally where that law says you can.
